WCG Clinical, Inc. and its operating divisions, subsidiaries, and affiliates (collectively, “WCG,” the “Company,” “we” or “us”) prioritizes the protection of Personal Information entrusted to us. Accordingly, WCG provides this notice to inform you of our online information practices, the kinds of information we collect when you interact with us online, how we may use and disclose Personal Information, and the choices and rights you may have to manage Personal Information we process about you (“Privacy Policy”).

This Privacy Policy applies to the Personal Information we process through our business operations and our websites, including all future websites or other applications operated by or on behalf of WCG that link to this Privacy Policy (collectively, the “Services”). As used in this Privacy Policy, “Personal Information” has the meaning given to it under the law where you live, but typically refers to information that can be used to identify you as an individual.  Activities we take with respect to your Personal Information are referred to as “processing.”

Note: Any Personal Information we process on behalf of, or in partnership with, our customers, business partners or clinical trial participants is subject to: (1) the terms of our agreements with our customers and business partners, (2) the informed consent signed by the individuals to whom the information relates, and (3) all regulatory and data protection requirements – not the terms of this Privacy Policy. Further, if you are a WCG worker, contractor, or job applicant, you will find details about how we process your Personal Information in our Worker and Applicant Privacy Notice, which is separate from this Privacy Policy.

There are several ways we may obtain information about you. We collect information that you elect to provide to us when using our Services and when you otherwise interact with us, such as through our Apps and customer service channels, that we collect automatically when you use our Services, and that we receive from third parties. The categories of Personal Information we may collect, and our privacy practices depend on the nature of the relationship you have with WCG and the requirements of applicable law. We endeavor to collect information only relevant for our business needs.

  1. Information you submit. We collect information whenever you provide it to us directly, such as when you submit Personal Information through our “Contact Us” page, seek to partner with us, sign up as a clinical trial volunteer, speak or attend a WCG event, create an account, or sign up for any of our newsletters or publications. Such information may include demographic and contact information such as your name, your affiliated company or institution and position, email address, gender, location, clinical focus, and other information regarding your interest in us.
  2. Information we collect automatically using cookies and other technologies.  We, as well as third parties that provide content, analytics, advertising or other functionality, may use cookies and other technologies to automatically collect information through your use of our Services and distinguish you from other users of the Services.  We may use these types of technologies in various ways, as described by the following general categories:
    1. Operationally Necessary. These technologies are essential to our ability to offer our Services and include technologies that allow you access to our Services and enable our use of tools we use to identify irregular site behavior, prevent fraudulent activity, improve security or that allow you to make use of various features and functionalities in our Services.
    2. Performance Related.  These technologies help us assess the performance of our websites, including analytic practices to help us understand how our visitors use our websites.
    3. Functionally Related.  These technologies allow us to offer you enhanced functionality when accessing or using our Services.  This may include identifying you when you sign in or keeping track of your specified preferences, interests, or past items viewed.
    4. Analytics.  These Technologies allow us to better understand how our digital Services are used and to continually improve and personalize our Services.
    5. Advertising. These Technologies may be set by us or through our Sites by our advertising partners. They may be used by those companies to build a profile of your interests including cross-device tracking, to deliver content and show you relevant advertisements on other sites by uniquely identifying your browser and internet device. If you do not allow these Technologies, you will still experience advertising, but the advertising will not be customized.
  3. Information we collect automatically from devices and online activities. We may collect information about the devices you use to access our Services, including technical information about your device and network, such as hardware model, operating system version, your internet protocol (IP) address, user settings, MAC address, mobile carrier and other unique mobile identifiers, browser or device information, location information (including approximate location derived from IP address), and internet service provider.  We may also collect information about your activity on our Services and your interactions with our ads and communications, such as the routes by which you access our Services along with access dates and times, browsing behavior such as pages viewed, links clicked, information about your activity on a specific page(s) and other information about how you use our Services.
  4. Information we collect from third-party services and other sources. Where permitted by law, we may obtain Personal Information about you from third-party services and organizations, from other individuals or from publicly available sources.  Further, if you access our Services through a third-party application, such as a social networking site, we may collect Personal Information about you from that third-party application that you have made available via your privacy settings. We may also use identity and contact data in conjunction with our marketing partners to help us more effectively target our marketing campaigns and other efforts.

We will only use your Personal Information for lawful purposes. Specifically, we may use your personal data for a variety of business purposes, including to provide our Services, for administrative purposes, and to market our business products, services and activities, as described below.

We will only use your Personal Information for the purpose for which we collected it, unless we reasonably consider that we need to use it for another reason and that reason is compatible with the original purpose as specified in applicable laws. If we need to use your Personal Information for a purpose that we have not specified in this Privacy Policy, we will notify you where we are required by applicable law and we will explain the legal basis which allows us to do so, or seek your consent, as required.

  1. Provide our Services. We primarily use Personal Information to advance our Services or to support our relationship with you.  We may also use information to develop, maintain, and improve our Services and to protect WCG and our users and partners.
  2. Administrative purposes. WCG may also use Personal Information and other information collected for administrative purposes, including, without limitation, to: (a) measure interest in WCG’s Services and our website content; (b) comply with regulatory requirements; (c) manage our agreements and your relationship with us; (d) verify or maintain data integrity or quality; (e) process payments and transactions; and (f) detect and prevent potentially prohibited or illegal activities, such as malicious, deceptive, fraudulent or illegal activity.
  3. Site analytics and improvement. WCG uses cookies to identify return visitors, record user preferences, and measure the effectiveness of our site.
  4. Marketing and Advertising. We may use Personal Information to market and advertise our business, products and services as permitted by applicable law. For example, we use technologies to engage in online marketing activities as described in this Privacy Policy and may make solicitations, recommendations or offers available to individuals we’ve identified as prospective customers or based on past purchase history or other personal information we determine is relevant.
  5. Regulatory and compliance purposes. WCG may also use the information we collect to: generally manage information and accounts; respond to questions, comments and requests; provide access to certain areas and features of the WCG sites; ensure internal quality control; verify individual identity; enable individuals to register for events or participate in seminars; communicate about individual account and activities; at WCG’s discretion, make changes to any WCG policy; process applications and transactions; market our Services; comply with law or regulatory requirements; undertake activities to verify or maintain the quality or safety of a Service, and to improve, upgrade, or enhance the Service; undertake internal research for technological development and demonstration; detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, and prosecute those responsible for that activity; identify and repair errors that impair existing intended functionality; and for purposes disclosed at the time that individuals provide information or otherwise with consent.
  6. De-identified and aggregated Information. We may use Personal Information to create de-identified and/or aggregated information, such as information about the device from which you access our Services, or other analyses we create.
  7. Other Purposes.  We may also use your Personal Information for other purposes with your consent, as requested by you or as required or permitted by applicable law.

We may disclose your Personal Information to third parties for a variety of business purposes, including to provide our Services, to protect us or others, or in the event of a major business transaction such as a merger, sale, or asset transfer, as described below. We may also disclose your information with third parties as required, appropriate or otherwise permitted by law. We do not allow our third-party service providers that process your Personal Information on our behalf to use your Personal Information for their own marketing or any other purposes, and we only permit them to process your personal data pursuant to the terms of written contracts for specified purposes and in accordance with our instructions.

  1. Consent. We will disclose Personal Information to companies, organizations, or individuals outside of WCG when we have your consent to do so.
  2. Disclosures to Provide our Services. The categories of third parties with whom we may share your Personal Information are described below:
    1. Service Providers. We may disclose your Personal Information to our third-party service providers who use that information to help us provide our Services. This includes service providers that provide us with IT support, hosting, payment processing, customer service, and related services.
    2. Business Partners. We may disclose Personal Information to our business partners to advance business initiatives or to jointly administer projects.
    3. Affiliates. We provide Personal Information to our affiliates or other trusted businesses or persons to process it for us, based on our instructions and in compliance with our Privacy Policy and any other appropriate confidentiality and security measures.
    4. Social Networks. Your Personal Information may be disclosed to social networks if you visit our corporate social media accounts by clicking a social media widget from our Services (e.g., Facebook, Instagram, LinkedIn, etc.).
    5. Advertising Partners. We work with third party companies that support our advertising and marketing efforts, including to serve interest-based advertisements across the internet; track and categorize your activity, interests and device(s) used over time on our Services and on third-party websites and mobile applications; for research and analytics efforts, including to better understand how users interact with our Services to improve our offerings and optimize your experience and interactions with us. Our third-party advertising or analytics partners include Google.   3. Disclosures to Protect Us or Others. We may access, preserve, and disclose any information we store associated with you to external parties if we, in good faith, believe doing so is required or appropriate to: comply with law enforcement or national security requests and legal process, such as a court order or subpoena; protect your, our or others’ rights, property, or safety; enforce our policies or contracts; collect amounts owed to us; or assist with an investigation or prosecution of suspected or actual illegal activity.
  4. Business Transactions. We reserve the right to disclose or transfer any information we have about you in the event of a proposed or actual purchase, any reorganization, sale, lease, merger, joint venture, assignment, purchase or sale of assets, transition of service to a provider, amalgamation or any other type of acquisition, disposal or financing of all or any portion of our business or of any of the business assets or shares (including in connection with any bankruptcy or similar proceeding). Should such an event occur, WCG will endeavor to direct the transferee to use Personal Information in a manner that is permitted by law and/or contract and/or consistent with this Privacy Policy.

The choices you have about how we use your Personal Information are determined by your specific circumstances, the context of your relationship with WCG and applicable law, and are described below.

  1. Email Communications. If you receive an unwanted email from us, you can use the unsubscribe link found at the bottom of the email to opt out of receiving future emails. Note that you will continue to receive transaction-related emails regarding products or Services you have requested. We may also send you certain non-promotional communications regarding us and our Services, and you will not be able to opt out of those communications (e.g., communications regarding our Services or updates to our terms or this Privacy Policy).
  2. “Do Not Track” / “Global Privacy Control.” Do Not Track (“DNT”) is a privacy preference that users can set in certain web browsers. Additionally, some browsers or plug-ins use a “Global Privacy Control” (“GPC”), which you can learn more about at https://globalprivacycontrol.org/. Please note that we do not respond to or honor DNT signals or similar mechanisms transmitted by web browsers. However, if our site detects a GPC signal from your device, depending on the law applicable to your jurisdiction, we will interpret it as either a “Do Not Sell” request or a request to limit the sale or sharing of Personal Information for targeted advertising..
  3. Cookies and similar technologies. You may stop or restrict the placement of cookies and similar technologies on your device or remove them by using the controls we make available in our cookie banner or adjusting your preferences as your browser or device permits. However, note that if you adjust your preferences, our Services may not work properly. Please note you must separately opt out in each browser and on each device.

In accordance with applicable law, you may have the right to:

  1. Access to Personal Information about you, consistent with legal requirements.  This includes (i) confirming whether we are processing your Personal Information; (ii) obtaining access to or a copy of your Personal Information; and (iii) receiving an electronic copy of Personal Information that you have provided to us or asking us to send that information to another company in a structured, commonly used, and machine-readable format.
  2. Request Correction of your Personal Information where it is inaccurate or incomplete.  In some cases, we may provide self-service tools that enable you to update your Personal Information or, if applicable, we may refer you to the business that controls your Personal Information to make the correction.
  3. Request Deletion of your Personal Information, subject to certain exceptions prescribed by law.
  4. Object to Processing of your Personal Information where the processing of your Personal Information: (i) is based on our legitimate interest for direct marketing; (ii) involves processing or sharing of your sensitive Personal Information for certain non-essential purposes, or in contexts that require your consent; and (iii) for profiling in furtherance of decisions that produce legal or similarly significant effects that concern you. Please note that we do not engage in such types of profiling.
  5. Opt-Out of “Sale” or “Sharing.” Although we do not “sell” your Personal Information as the term “sale” is typically understood, we may “sell” or “share” information with our advertising and analytics partners to help us understand how visitors use our Services and to serve you ads. Where applicable, we will offer you a choice about whether to accept or opt-out of certain technologies, the use of which may constitute a “sale” or “share” of personal information under certain state privacy laws in the United States.
  6. Withdraw your Consent where you have consented to our processing of your Personal Information. Where our processing is based on your consent or subject to your objection, please note that your withdrawal will only take effect for future processing and will not affect the lawfulness of processing before the withdrawal.
  7. Appeal.  You may have the right to appeal our decision or response to your privacy rights request. To exercise your right to appeal, you can submit an appeal request using the same method used to submit your original request.
  8. Lodge a Complaint, while we are always willing and eager to listen and respond to your concerns about this Privacy Policy or our data practices, at any time you have the right to lodge a complaint with the data protection authority or other regulatory body in charge of enforcing data protection laws in your jurisdiction.

    To make a privacy rights request, please use the contact information located at the end of this Privacy Policy. We will process such requests in accordance with applicable laws and will not discriminate or retaliate against you for the exercise of any privacy rights granted to you by applicable law. To protect your privacy, we will take steps to verify your identity before fulfilling your request. Depending on your jurisdiction, you may also designate an authorized agent to make a request on your behalf. We may ask authorized agents to submit proof of their authority to make certain requests (such as deletion or access requests), on your behalf. In some cases, we may be required to contact the individual who is the subject of the request to verify their identity or confirm the authorized agent has permission to submit the request.  If you are an authorized agent seeking to make an access, correction, or deletion request on behalf of an individual, please contact us.

WCG’s Services are not directed to children under 16 (or other age as required by local law), and we do not knowingly collect Personal Information from children.  If you learn that your child has provided us with Personal Information without your consent, please contact us.  If we learn that we have collected any Personal Information in violation of applicable law, we will promptly take steps to delete such information unless we are legally obligated to retain it to protect our rights and terminate the child’s account.

We store the Personal Information we collect as described in our Privacy Policy for as long as you use our Services, or as necessary to fulfill the purpose(s) for which it was collected, provide our Services, resolve disputes, establish legal defenses, conduct audits, enforce our agreements, and comply with applicable laws, or based upon other criteria, including, but not limited to, the sensitivity and volume of such data. We endeavor to retain all such Personal Information in accordance with legal requirements.

The security of all Personal Information provided to WCG is important to us, and WCG takes reasonable steps designed to protect your Personal Information. Unfortunately, no data transmission over the Internet or storage of information can be guaranteed to be 100% secure. As a result, while WCG strives to protect your Personal Information, we cannot ensure or warrant the security of any information you transmit to WCG, and you do so at your own risk. To the fullest extent permitted by applicable law, we do not accept liability for unauthorized disclosure.

Our Privacy Policy does not apply to services offered by other companies or individuals, or other sites linked from our website. Our sites may contain links to other websites for your convenience and information. WCG does not control such third-party websites or their privacy practices, which may differ from those set out in this Privacy Policy. WCG does not endorse or make any representations about third-party websites. Any Personal Information you choose to give to unrelated third parties is not covered by this Privacy Policy. WCG encourages you to review the privacy policy of any company or website before submitting your Personal Information. Some third parties may choose to share their users’ Personal Information with WCG; that sharing is governed by that company’s privacy policy, not this Privacy Policy.

WCG may update this Privacy Policy from time to time as it deems necessary in its sole discretion. If there are any material changes to this Privacy Policy, WCG will notify you as required by applicable law. WCG encourages you to review this Privacy Policy periodically to be informed regarding how WCG is using and protecting your information and to be aware of any policy changes. Any changes to this Privacy Policy take effect after being posted or otherwise provided by WCG.

NOTICE AT COLLECTION AND SUPPLEMENTAL NOTICE FOR RESIDENTS OF CERTAIN JURISDICTIONS

  1. United States
    This Notice at Collection and Supplemental Notice is for residents of states that have adopted comprehensive privacy legislation and others that may come into effect from time to time (collectively, “Applicable State Laws”).
  2. Personal Information We Collect and Disclose
    As more fully described in the section titled “Information We Collect”, the sources from which we collect Personal Information include directly from you when you interact with us, and automatically from you when you use our sites and Services.

    Depending on how you use our Services, the information we may have collected about you, as well as the categories of third parties with whom we have disclosed this information, are described in the table below.
  1. Use of Personal Information
    We may use or disclose Personal Information for the purposes outlined in “How We Use Information We Collect” above. These purposes include:
    1. To provide the Services to you;
    2. For our administrative purposes (including security, fraud detection and protection, and improve our Services);

  2. Sales/Sharing of Personal Information
    We may disclose certain categories of personal information in conducting online advertising and analytics activities, for example, we may share information with third-party advertising partners as described above, such as for cross-context behavioral advertising and targeted advertising. While we do not disclose your personal information for money, these activities may be considered “sales,” or “sharing,” under certain US state privacy laws. We do not have actual knowledge that we “sell” or “share” personal information about consumers under 16 years of age either as those terms are commonly understood or as they are defined under certain US state privacy laws.  The table below provides more information about these practices.
